Tamara R. Wagman-Sloan

Ms. Tamara Wagman-Sloan is a business lawyer who joined the firm in 1998.   Ms. Wagman-Sloan became General Counsel of BOK Financial Corporation, a $49 billion financial holding company, in 2021 after having led the organization in the $1 billion acquisition of CoBiz Financial, Inc. the largest acquisition in the history of BOK Financial Corporation.

Biography

Ms. Wagman represents banks and corporate entities in mergers and acquisitions, finance, corporate governance, securities and regulatory compliance. Ms. Wagman also regularly consults on information technology, intellectual property and contracting.


Ms. Wagman twice served as fundraising chairperson for the legal division of the Tulsa Area United Way. She currently serves on the Executive Committee of the Booker T. Washington Foundation for Excellence and the Oklahoma Reining Horse Association. Ms. Wagman also served as an adjunct professor.


Ms. Wagman received her J.D., magna cum laude, in 1995 from the Vermont Law School, where she was an editor of the Vermont Law Review. In 1992 she received her B.A., with highest distinction, from the University of Nebraska-Lincoln. There she was elected to the honor society, Phi Beta Kappa, and to the Innocents Society for outstanding scholarship and leadership.  Ms. Wagman has served as an adjunct Professor of Banking Law at the University of Tulsa School of Law.

Representative Recent Engagements

  • Negotiate and obtain regulatory approvals for acquisitions of state and national banks, SEC registered investment advisors and trust and asset management companies.
  • Negotiate FDIC assisted acquisition of mortgage servicing rights.
  • Organize and obtain regulatory approval for de novo bank charter.
  • Assist with all aspects of Securities Exchange Act of 1934 and bank regulatory compliance.
  • Participate in regulatory examinations by the Office of the Comptroller of the Currency, Federal Reserve Board of Governors, Consumer Financial Protection Bureau and Securities and Exchange Commission.
  • Provide assistance with board of director governance and training.
  • Advise clients regarding corporate wide policy and procedure implementation and oversight.
  • Advise clients regarding issuance of subordinated debt securities.
  • Advise clients in the purchase of Bank Owned Life Insurance.
  • Effect go-dark transaction for NASDAQ listed company.
