Primary Areas of Practice

Commercial Transactions

Our Commercial Transactions practice deals with matters relating to the structure, documentation, and implementation of contracts, business arrangements, and transactions. We handle issues including shareholder, employment, non-competition, distribution, lease, and participation agreements. Additionally, we prepare contracts of sale, related party transactions, easements, restrictive covenants, notes, guarantees, equipment leases, and mortgages.

Besides preparing the documentation, our firm also advises clients on complications arising during the course of transactions, including breach of contract claims. We help our clients defend their rights under contract and, when necessary, represent them as both plaintiffs and defendants in litigation arising from their commercial dealings.

As with Business and Corporate Law, our Commercial Transactions practice overlaps to some degree with most other areas of practice, including Banking, Securities, Real Estate, Retirement Community, Employment and Oil and Gas Law. Our clients for Commercial Transactions run the gamut from financial institutions to oil and gas producers to construction firms. In each of these areas, we render advice, and plan and implement a variety of transactions and contracts.
