Amanda Lovelace

Ms. Lovelace is a business attorney who focuses her practice primarily on corporate transactional matters, including mergers, acquisitions and reorganizations, private equity investment, and securities law matters. Ms. Lovelace has a diverse practice representing public and private companies in domestic and international transactions. Ms. Lovelace enjoys working closely and efficiently with clients to help achieve their goals. 

Biography

Prior to joining Frederic Dorwart, Lawyers PLLC, Ms. Lovelace was an associate at Wilson Sonsini Goodrich & Rosati, P.C. in Palo Alto, CA, where she represented early stage and mature companies in a wide variety of transactions, including entity formation, debt and equity financings, mergers and acquisitions and public securities offerings.  Before joining Wilson, Ms. Lovelace was an associate at Robinson & Cole, LLP in Stamford, CT where her practice focused primarily on commercial real estate and real estate related transactions in Connecticut and New York.

 

Before attending law school, Ms. Lovelace spent time as an investment banking analyst with Morgan Stanley in its Sydney, Australia and Hong Kong offices.  Ms. Lovelace received her Juris Doctor from Columbia University School of Law in 2008, where she was a Stone Scholar and a member of the Journal of Environmental Law.  Ms. Lovelace received her Bachelor of Arts, magna cum laude, in International Relations from Wellesley College in 1999.

REpresentative recent engagements

  • Private Equity: Advises private equity clients in the structuring, acquisition and divestiture of portfolio companies; advises on ongoing portfolio company issues including reorganizations, corporate governance matters and general contract review.
  • Merchant Banking: Represents the merchant banking group of a Firm banking client in the structuring and negotiation of debt and equity investments in portfolio companies.
  • Securities Compliance: Advises clients on the preparation and negotiation of debt and equity financing documents, including preferred financings, convertible debt and SAFE financings, and compliance with federal and state securities laws.
  • Fund Investment: Advises on private equity and venture capital fund formation and investments.
  • Public Company: Advises and assists public company clients with the preparation and filing of public company filings and with respect to general corporate governance and compliance matters.
  • Corporate: Advises clients on all aspects of general corporate law, including acquisition and divestiture of entities and assets and the formation, reorganization and dissolution of corporate entities.
